Dean Marsan

Dean Marsanis a tax professional with deep knowledge of all aspects of the tax law. In his professional career, Mr. Marsanhas worked proactively with bankers, counsel, and Big 4 accountants to discuss matters relating to tax diligence and compliance for investments and risk mitigation planning. Dean Marsan has reviewed joint venture, partnership, and other profit sharing agreements, such as equity participations, guaranteed payments, earn-outs, and fees, to perform allocation planning and related capital account analyses. Mr. Marsan is well acquainted with Section 704(b) of the tax code, and he knows how to effectively leverage items such as minimum gain, qualified income offset, and PIP analysis to ring fence ECI/UBTI tax risk.

Mr. Dean Marsan was formerly the Senior Tax Counsel for Lehman Brothers' office of Global Corporate Tax Research and Planning. In this capacity, Mr. Marsan oversaw the firm's tax structuring, negotiation, and implementation of various purchases and sales of domestic and international businesses. These entities, in turn, were included in taxable asset or stock transactions, as well as tax-free reorganizations, spinoffs, liquidations, workouts, or restructurings. Any time Lehman Brothers participated as an advisor, bridge or mezzanine lender, or equity participant, Mr. Marsan oversaw the activities associated with that role.

Mr. Marsan is a licensed attorney in the State of New York and the District of Columbia who is in good standing with the New York State Bar Association - Tax Section. Dean Marsan also maintains professional relationships with the Wall Street Tax Association, the New York City Partnership and Chamber of Commerce Tax Committee, the Tax Executives Institute, and the Association of the Bar of New York City.
